Terms of Service

Code Recycle is operated by Olive Hill Group, LLC, a California limited liability company. Every paid listing here is licensed by us — we are the licensor, not an intermediary.

1What this service is

Code Recycle is a marketplace where people and automated agents acting for an organization discover and license software components and applications.

A paid listing is licensed either by Olive Hill Group, LLC (our own listings) or by the seller who published it under the Seller Agreement. The listing says which. For a seller’s listing, Olive Hill Group collects payment as the seller’s limited payment collection agent and is not the licensor.

The service also indexes open-source projects we do not own. Those entries are discovery links to the upstream project. They are not sold here, produce no Code Recycle licence, entitlement or download, and are governed entirely by their own licences.

2Eligibility and authority

You must be 18 or older. If you accept these Terms for an organization, you represent that you are authorised to bind it. Account information must be accurate.

3Accounts and organizations

An account belongs to a person. Purchases, licences and entitlements belong to an organization. A person may belong to more than one; entitlements do not follow a person between organizations, and do not leave with a departing member.

Organization administrators control membership, agent principals, budgets and approval rules. You are responsible for activity under your account and for keeping credentials secure.

4Agent principals — purchases made by software

You may create agent principals: scoped credentials that let an automated system act for your organization, including completing purchases.

Before any agent may transact:

  • a human administrator must accept these Terms for the organization;
  • agent purchasing must be separately and expressly enabled — accepting these Terms is not by itself authority to spend;
  • the organization sets budgets, scopes and approval rules, which we record.

When an agent transacts within the limits you recorded, that purchase binds your organization as if you had made it. You are responsible for the limits you set. New agents are created with modest default budgets, which you may raise or lower.

What we do: enforce your recorded limits atomically, so concurrent requests cannot overspend them; require a stable quote before any purchase commits, so a search result is never itself the purchase instruction; deduplicate retries; honour credential revocation from its effective time; issue a receipt for every transaction; and keep an immutable record of the authority configuration in force at the moment of purchase.

What we do not do:supervise your agent’s judgement. A transaction exceeding your recorded limits is not authorised, and is reversible.

5Listings, versions and licences

A product may have several offers. Each offer states its price and its licence. The licence version in force at your acquisition governs your acquisition, and is recorded in your grant along with the product version and artifact digest. A later change to a listing does not alter a completed acquisition.

6Price and rights are separate

A price of zero does not mean open source, and a paid price does not mean unrestricted. The licence — not the price — states what you may do.

7What you get when you acquire a component

Current first-party components are licensed under the Code Recycle Permissive Commercial License. In summary: unlimited products, projects, client work, deployments and seats within your organization; commercial use and modification; no attribution; perpetual use of the version you acquired. One restriction: do not republish, relist or resell the component’s source on its own.

8Delivery

Source offers are delivered as an entitlement plus a signed, expiring download link, issued immediately on purchase. The artifact’s digest is published so you can verify what you received. Where an offer uses a different mechanism, the offer says so.

9Updates, support and advisories

Updates and support are separate entitlements with stated durations. They are not included in a component licence unless the offer says so. Security advisories, deprecation notices and recalls are version-specific. We may stop distributing a version; doing so does not revoke a licence you already hold.

10Verification claims

Listings publish specific claims — test counts, mutation results, scan outcomes — tied to a named version, artifact and date. These state what was checked. They are not a warranty that software is correct, secure or fit for any purpose. A claim that proves materially false for the version you acquired is refundable under the Refund Policy.

Some components perform security-relevant functions. Those are offered for business use only, and require a representation to that effect before acquisition.

11Refunds

The Refund Policy forms part of these Terms. In summary: if we told you something untrue, or delivered something other than what was described, you get your money back. Ordinary buyer’s remorse on delivered source is not refundable, subject to nonwaivable rights.

12Prepaid credit

An organization may hold a prepaid credit balance for future acquisitions on this service. Credit does not expire, is not transferable between organizations, carries no cash value except as the Refund Policy states, and is not a general-purpose stored-value instrument.

13Your obligations

Comply with the licence for anything you acquire. Do not remove third-party notices or licence files. Do not bulk-extract the catalogue to build a competing index. Do not use the service for unlawful purposes, to distribute malware, or to abuse credentials.

14Suspension and termination

For ordinary breach we will give notice and a 30-day cure period. We may act immediately for malware, fraud, infringement, credential compromise, security threats, sanctions, or where the law requires it.

Termination does not revoke a valid perpetual licence you already hold. It ends access to the service, to hosted offers, and to future updates and support.

15Availability and warranties

The service is provided as is. We may change, suspend or discontinue listings or features. If we discontinue something you licensed, your delivered copy and your licence rights are unaffected, subject to the lawful recall and infringement exception in the licence.

To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, accuracy, compatibility, uninterrupted availability, security and noninfringement. Nothing here reduces an express refund right or a nonwaivable statutory right.

16Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the greater of (a) amounts you paid us in the twelve months preceding the claim, or (b) one hundred dollars. We are not liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, revenue or data.

Nothing limits liability for fraud, willful misconduct, or anything else that cannot lawfully be limited.

17Intellectual property and feedback

We retain ownership of the service. You retain ownership of your content. If you send us feedback, we may use it to improve the service without obligation to you.

We do not take any right to train general-purpose AI models on your private repositories, source code, prompts or content. Any such use would require your separate, express opt-in.

18Taxes, export and sanctions

You are responsible for taxes on your own transactions other than taxes on our income. You may not access or use the service in violation of export controls or sanctions, and you represent that you are not a restricted party.

19Changes to these Terms

We may update these Terms. Material changes will be posted with a revised version and date and reasonable notice. Changes apply prospectively and never narrow a licence grant you have already received.

20Order of precedence

Where terms conflict: (1) a signed written order form; (2) the applicable licence text; (3) your grant record; (4) the Refund Policy; (5) these Terms; (6) the listing page; (7) the machine-readable rights record.

21General

Governed by the laws of the State of California without regard to conflict-of-laws rules. Venue lies in the state and federal courts located in Los Angeles County, California. You consent to receive notices electronically. You may not assign without our consent; we may assign with the business. Severability, no waiver, no third-party beneficiaries and entire agreement apply as usual. Sections 10, 11, 13, 15, 16, 17, 20 and 21 survive termination.

22Contributed listings

During the beta, people may contribute listings. A contributed listing is licensed by its contributor, not by Olive Hill Group, under the licence the contributor selects when publishing: MIT or Apache-2.0 (the Open lane), or the Code Recycle Permissive Commercial License 1.0 with the contributor as Licensor (the Reserved lane). A Reserved-lane listing may carry a price set by its contributor, who sells it under the Seller Agreement; Open-lane listings are always free.

A licence you obtain to a contributed listing during the beta is perpetual for the version you obtained, on the terms of that licence. If a marketplace for contributed listings opens later, it will not change a licence already granted.

Contributors keep ownership of what they contribute and are responsible for the representations they make when publishing (Section 13 applies). We may remove a contributed listing that breaches these Terms or the Content Policy.

We may offer contributors who published during the beta preferential seller terms. Any such terms will be published before they apply. Nothing in these Terms promises any revenue to a contributor. (Section added 2026-09-19; revised 2026-09-20.)

These terms may change. Material changes are posted here with a revised version and date, apply prospectively, and never narrow a licence grant already issued.
